Electronic Physician Attestation and Participation Agreement

Please read this Electronic Physician Attestation and Participation Agreement carefully before registering as a physician on the 9jaTelemedicine Limited platform.

By checking the “I Agree” box and clicking “Create Account,” “Register,” or any similar acceptance button, you acknowledge that you have carefully read, understood, and voluntarily agree to be legally bound by the terms and conditions set forth below.

  1. Independent Contractor Relationship

I understand and agree that my participation on the 9jaTelemedicine Limited platform is solely as an Independent Medical Practitioner providing professional medical services as an independent contractor.

I acknowledge and agree that:

  • I am not an employee, partner, shareholder, joint venturer, or agent of 9jaTelemedicine Limited.
  • Nothing contained in this Agreement shall be interpreted as creating an employer-employee relationship.
  • I shall exercise my own independent professional and clinical judgment at all times.
  • I am solely responsible for complying with all applicable professional, ethical, legal, licensing, regulatory, and taxation requirements relating to my medical practice.
  1. Professional Qualifications and MDCN Registration

I certify, represent, and warrant that:

  • I am a duly qualified medical doctor.
  • I am fully registered with the Medical and Dental Council of Nigeria (MDCN).
  • I possess a current, valid, unrestricted license to practice medicine in Nigeria.
  • My MDCN registration and practicing license are active and in good standing.
  • My license has not been suspended, restricted, revoked, or subjected to any disciplinary action.
  • I am legally qualified to provide telemedicine services in accordance with Nigerian law and applicable professional standards.
  • I will immediately notify 9jaTelemedicine Limited if my MDCN registration or practicing license expires, becomes inactive, is suspended, restricted, revoked, or becomes the subject of any investigation or disciplinary proceedings.
  • I will continuously maintain all licenses, registrations, certifications, and qualifications necessary to lawfully practice medicine throughout my participation on the platform.
  1. Submission of Academic and Professional Credentials

I agree that, as part of the physician credentialing and verification process, I shall provide 9jaTelemedicine Limited with clear and legible copies of documents reasonably requested to verify my identity and professional qualifications.

These documents include, but are not limited to:

  • Medical Degree (MBBS, MBChB, or equivalent)
  • Internship (Housemanship) Certificate
  • NYSC Certificate or Certificate of Exemption (where applicable)
  • Residency Training Certificates (where applicable)
  • Fellowship or Specialist Qualification Certificates (where applicable)
  • Medical and Dental Council of Nigeria (MDCN) Full Registration Certificate
  • Current MDCN Annual Practicing License
  • National Identification Number (NIN)
  • Government-issued photo identification
  • Tax Identification Number (TIN), where applicable
  • Any additional documents reasonably requested by 9jaTelemedicine Limited for credential verification, regulatory compliance, quality assurance, accreditation, or audit purposes.

I certify that every document submitted is authentic, accurate, complete, current, and unaltered.

I understand that the submission of false, misleading, altered, forged, or fraudulent information or documentation constitutes grounds for immediate rejection, suspension, or permanent removal from the platform and may be reported to the appropriate regulatory or law enforcement authorities.

  1. Nature of the Platform

I understand and acknowledge that 9jaTelemedicine Limited is solely a technology platform that facilitates communication between patients and independent licensed physicians.

I further acknowledge that:

  • 9jaTelemedicine Limited does not practice medicine.
  • The Company does not diagnose patients.
  • The Company does not prescribe medications.
  • The Company does not supervise or direct physicians’ clinical decision-making.
  • The Company does not guarantee clinical outcomes.
  • Every medical decision remains solely my independent professional responsibility.
  1. Professional Responsibility and Medical Liability

I acknowledge and agree that every diagnosis, prescription, referral, investigation, treatment recommendation, follow-up instruction, medical opinion, and every other clinical decision provided through the platform is made solely by me in the exercise of my independent professional judgment.

I accept full professional, ethical, civil, regulatory, disciplinary, and legal responsibility for every healthcare service that I provide through the 9jaTelemedicine Limited platform.

I understand that 9jaTelemedicine Limited does not review, supervise, approve, modify, or direct my clinical judgment and shall not be responsible or liable for my professional acts or omissions.

Accordingly, I agree to defend, indemnify, and hold harmless 9jaTelemedicine Limited, together with its directors, officers, shareholders, employees, contractors, affiliates, successors, and assigns, against any claim, complaint, investigation, disciplinary proceeding, lawsuit, judgment, settlement, liability, damage, loss, cost, or expense arising directly or indirectly from my professional services, negligence, malpractice, clinical decisions, prescriptions, omissions, or violations of applicable laws or professional standards.

This obligation survives my suspension or termination from the platform.

  1. Professional Standards and Consultation Response Time

I agree that I will:

  • exercise sound and independent medical judgment;
  • comply with all applicable Nigerian laws and MDCN regulations;
  • maintain the highest standards of professional medical practice;
  • maintain accurate and complete clinical documentation;
  • preserve patient confidentiality at all times;
  • communicate professionally and respectfully with patients;
  • recommend emergency or in-person medical care whenever clinically appropriate;
  • decline consultations that fall outside my competence or scope of practice.

I further acknowledge that the success of the platform depends upon timely patient care.

Accordingly, I agree to make every reasonable effort to respond to all assigned consultations within one (1) hour of assignment.

I understand that although unforeseen circumstances may occasionally occur, repeated delays or failure to respond within the expected response time may adversely affect patient care and may result in temporary suspension, reassignment of consultations, or permanent removal from the platform at the sole discretion of 9jaTelemedicine Limited.

  1. Compensation

I understand and agree that I shall receive ₦1,000 (One Thousand Naira) for every completed consultation provided through the 9jaTelemedicine Limited platform.

A completed consultation means a patient encounter that has been successfully completed and recorded as complete within the Company’s system.

Cancelled, refunded, duplicate, fraudulent, test, incomplete, or administrative consultations shall not qualify for payment.

Payments will ordinarily be processed at the end of each calendar month following reconciliation of completed consultations.

The consultation records maintained by 9jaTelemedicine Limited shall be final for payment purposes.

  1. Tax Obligations

I acknowledge that payments made to me may be subject to withholding tax or any other statutory deductions required under applicable Nigerian law.

Where legally required, I authorize 9jaTelemedicine Limited to deduct such taxes or statutory deductions before payment is made.

I remain solely responsible for filing all required tax returns and satisfying all personal tax obligations beyond any deductions made by the Company.

  1. Confidentiality

I agree to maintain the confidentiality of all patient information and all confidential business information belonging to 9jaTelemedicine Limited, including proprietary software, operational procedures, business methods, pricing, trade secrets, and other confidential information obtained through my participation on the platform.

These confidentiality obligations survive my departure from the platform.

  1. Termination of Participation

I understand and agree that participation on the 9jaTelemedicine Limited platform is entirely voluntary and may be terminated by either party.

I further acknowledge and agree that 9jaTelemedicine Limited reserves the absolute right, at its sole discretion, to suspend or terminate my participation on the platform at any time, with or without cause, and with or without prior notice.

Termination may occur for reasons including, but not limited to:

  • failure to maintain professional qualifications or licensure;
  • failure to maintain MDCN registration or practicing license;
  • patient safety concerns;
  • repeated failure to respond to consultations within the expected response time;
  • breach of confidentiality;
  • unprofessional conduct;
  • submission of false information;
  • violation of Company policies; or
  • any other reason that 9jaTelemedicine Limited determines is in the best interests of the platform or its patients.

Termination shall not affect any obligations relating to confidentiality, professional liability, indemnification, taxes, or payment for consultations completed before termination.

  1. Electronic Signature

I acknowledge and agree that:

  • I have had the opportunity to review this Agreement before accepting it.
  • Checking the acceptance box and clicking “I Agree,” “Register,” or “Create Account” constitutes my legally binding electronic signature.
  • My electronic signature carries the same legal force and effect as my handwritten signature, to the fullest extent permitted by applicable law.
  • I consent to the electronic storage, retention, and retrieval of this Agreement and all related records by 9jaTelemedicine Limited.
  1. Electronic Acceptance Record

I understand and agree that 9jaTelemedicine Limited shall permanently retain an electronic record of my acceptance, including, where available:

  • Full Name
  • Email Address
  • Date and Time of Acceptance
  • IP Address
  • Device and Browser Information
  • Agreement Version Number
  • Unique Document Identification Number

This electronic record shall constitute conclusive evidence that I accepted and electronically signed this Agreement.
