Healthcare Ambassador Online Agreement & Electronic Attestation

Effective Date: September 1, 2026

This Healthcare Ambassador Agreement (“Agreement”) governs participation in the 9jaTelemedicine Limited Healthcare Ambassador Program (“Program”).

This Agreement is designed to be accepted electronically during online registration. No handwritten signature or DocuSign is required.

By checking the required attestation boxes and clicking “I Agree & Submit Application,” the applicant confirms that they have read, understood, and agreed to this Agreement.

Submitting an application does not automatically make an applicant a Healthcare Ambassador. Every Healthcare Ambassador must first be approved by 9jaTelemedicine Limited (“Company”).

1. Healthcare Ambassador Role

An approved Healthcare Ambassador may introduce individuals and organizations to 9jaTelemedicine and promote the Company’s services using a unique referral code or another Company-approved tracking method.

Ambassadors may build relationships with pharmacies, healthcare professionals, employers, churches, mosques, schools, universities, businesses, community organizations, individuals, and other appropriate groups.

Ambassadors are expected to represent 9jaTelemedicine honestly, responsibly, and professionally.

2. Independent Relationship

A Healthcare Ambassador is an independent referral partner and not an employee, agent, legal representative, franchisee, joint venturer, or partner of 9jaTelemedicine Limited.

The Ambassador:

– Does not receive a salary or guaranteed income.
– Is responsible for their own activities and expenses.
– Has no authority to enter into contracts or agreements on behalf of the Company.
– Cannot incur debts, expenses, or other obligations in the Company’s name.
– Cannot make promises, guarantees, warranties, or commitments on behalf of the Company unless specifically authorized in writing.
– Is not entitled to employee benefits, paid leave, pension contributions, or other employment-related benefits.

Nothing in this Agreement creates an employer-employee relationship.

3. Referral Code and Commission

Each approved Ambassador will receive a unique referral code or another Company-approved method for tracking eligible referrals.

The current Healthcare Ambassador commission is:

₦500 per eligible completed consultation

A consultation qualifies for commission only when it is legitimate, successfully paid for, completed, and properly attributed to the Ambassador through the Company’s tracking system.

Cancelled, refunded, reversed, disputed, duplicate, fraudulent, test, manipulated, chargeback, or otherwise ineligible consultations do not qualify for commission.

The Company’s platform, referral, and payment records will be used to determine eligible completed consultations and commissions, subject to correction of genuine errors.

There is no guaranteed minimum number of consultations, minimum income, or guaranteed duration of participation in the Program.

4. Monthly Reconciliation and Payment

Ambassador commissions are calculated and reconciled monthly.

Commission payments will generally be made at the end of the applicable month or early in the following month after reconciliation has been completed.

Reconciliation may include verification of:

– Completed consultations.
– Successful payments.
– Refunds and reversals.
– Chargebacks or payment disputes.
– Duplicate transactions.
– Referral attribution.
– Suspected fraudulent activity.
– Other information reasonably necessary to determine commission eligibility.

The Company may reasonably withhold a disputed commission while investigating the underlying transaction.

If a commission has already been paid for a consultation that is later refunded, reversed, disputed, determined to be fraudulent, improperly attributed, or otherwise found to be ineligible, the Company may deduct the applicable amount from future commissions or seek repayment where permitted by law.

5. Taxes and Statutory Deductions

The Ambassador is responsible for their individual tax obligations arising from income earned through the Program, except for taxes or other amounts the Company is required by law to deduct, withhold, or remit.

9jaTelemedicine Limited may deduct or withhold taxes from Ambassador commissions whenever required by applicable Nigerian law or a competent government or tax authority.

The amount actually paid to an Ambassador may therefore be less than the gross commission earned where tax withholding or another statutory deduction is required.

Where applicable, the Company may remit deducted or withheld amounts to the appropriate government authority.

6. Ambassador Conduct

Healthcare Ambassadors must:

– Promote 9jaTelemedicine honestly and professionally.
– Provide accurate information about the platform.
– Follow Company policies and applicable laws.
– Protect patient privacy and confidential information.
– Use Company-approved information and marketing materials where required.
– Conduct themselves in a manner that protects the reputation of the Company.

Ambassadors must not:

– Provide medical advice on behalf of 9jaTelemedicine.
– Diagnose medical conditions.
– Recommend prescription medications on behalf of the Company.
– Guarantee treatment, prescriptions, response times, or medical outcomes.
– Make false, deceptive, exaggerated, or misleading claims.
– Collect consultation payments on behalf of the Company unless specifically authorized.
– Represent themselves as an employee, officer, doctor, agent, or authorized spokesperson of 9jaTelemedicine unless separately authorized to do so.
– Offer unauthorized discounts or make financial commitments on behalf of the Company.

All medical and clinical decisions remain solely with the healthcare professionals providing care.

7. Patient Privacy and Confidentiality

Ambassadors should generally direct patients to the 9jaTelemedicine platform and should not unnecessarily collect patient medical information.

An Ambassador must not improperly access, collect, retain, photograph, copy, disclose, sell, distribute, or misuse confidential patient, doctor, business, or Company information.

Any confidential information obtained through participation in the Program must be protected and used only for authorized purposes.

These confidentiality obligations continue even after the Ambassador’s participation in the Program ends.

8. Fraud and Referral Manipulation

9jaTelemedicine maintains a zero-tolerance policy toward referral fraud and manipulation.

Prohibited activities include:

– Creating fake patient accounts.
– Creating fake or fictitious consultations.
– Creating consultations primarily to generate commissions.
– Creating duplicate consultations.
– Manipulating referral codes or tracking systems.
– Claiming consultations that were not legitimately generated through the Ambassador.
– Coordinating with others to artificially increase consultation numbers.
– Misusing test accounts, refunds, promotions, or payment systems.
– Providing false identities or information.
– Attempting to interfere with Company systems or referral records.

The Company may suspend an Ambassador and temporarily withhold disputed commissions while suspected fraud or abuse is investigated.

Confirmed fraud, referral manipulation, or serious misconduct may result in immediate termination, cancellation or recovery of affected commissions, and any other remedies available to the Company under applicable law.

9. Company Name, Brand and Intellectual Property

The names 9jaTelemedicine and 9jaTelemedicine Limited, together with Company logos, website content, graphics, marketing materials, software, trademarks, and other intellectual property, remain the property of the Company or their respective owners.

Approval as an Ambassador provides only limited and revocable permission to use Company-approved materials for legitimate Ambassador activities.

Without prior written authorization, an Ambassador may not:

– Register or operate a business using the 9jaTelemedicine name.
– Register a domain name containing or imitating the Company’s name or brand.
– Create a social media account or online presence that could reasonably appear to be an official Company account.
– Alter Company branding in a misleading manner.
– Claim ownership of Company intellectual property.
– Use Company branding for unrelated commercial purposes.

Permission to use Company branding ends immediately when participation in the Program ends unless otherwise authorized in writing.

10. No Authority to Bind the Company

A Healthcare Ambassador has no authority to legally or financially bind 9jaTelemedicine Limited.

Any unauthorized agreement, promise, representation, expense, debt, obligation, discount, employment offer, partnership arrangement, or other commitment made by an Ambassador is the responsibility of the Ambassador and does not bind the Company.

11. Indemnification

To the extent permitted by applicable law, the Ambassador agrees to indemnify and hold harmless 9jaTelemedicine Limited and its directors, officers, employees, contractors, and representatives against third-party claims, losses, damages, liabilities, penalties, and reasonable costs arising directly from the Ambassador’s:

– Fraud or intentional misconduct.
– Material breach of this Agreement.
– Unauthorized representations or commitments.
– Violation of applicable law.
– Misuse of confidential information.
– Misuse of Company intellectual property.
– Unauthorized provision of medical advice.

This provision does not require the Ambassador to indemnify the Company for liability arising solely from the Company’s own unlawful conduct.

12. Limitation of Liability

To the maximum extent permitted by applicable law, 9jaTelemedicine Limited will not be liable to the Ambassador for indirect, incidental, special, punitive, exemplary, or consequential losses arising from participation in the Program, including loss of anticipated commissions, income, profits, business opportunities, or goodwill.

Nothing in this Agreement excludes or limits any liability that cannot legally be excluded or limited under applicable law.

13. Approval, Suspension and Termination

All Healthcare Ambassador applications are subject to approval by 9jaTelemedicine Limited.

The Company may approve or reject an application in accordance with its Program requirements and applicable law.

Either the Ambassador or the Company may end participation in the Program.

The Company may immediately suspend or terminate an Ambassador for reasons including:

– Fraud or referral manipulation.
– Misrepresentation.
– Patient privacy violations.
– Unauthorized medical advice.
– Misuse of Company branding.
– Unlawful conduct.
– Material breach of this Agreement.
– Conduct reasonably considered harmful to patients, healthcare professionals, the Company, or its reputation.

Upon termination, the Ambassador must immediately stop representing themselves as an authorized 9jaTelemedicine Healthcare Ambassador and discontinue unauthorized use of Company materials and branding.

Legitimate commissions earned and verified before termination will ordinarily remain payable, subject to reconciliation, taxes, statutory deductions, refunds, reversals, chargebacks, fraud investigations, and other adjustments permitted under this Agreement.

14. Changes to the Ambassador Program

9jaTelemedicine Limited may prospectively modify the Ambassador Program, including:

– Commission rates.
– Eligibility requirements.
– Payment procedures.
– Referral tracking methods.
– Marketing requirements.
– Program policies.
– Incentives or bonus structures.

Material changes will be communicated through reasonable electronic means.

Changes will not retroactively reduce commissions already earned and finalized under the applicable terms.

The Company may require Ambassadors to electronically accept an updated Agreement as a condition of continued participation in the Program.

15. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

16. Binding Arbitration and Dispute Resolution

The Ambassador and 9jaTelemedicine Limited agree to first make a reasonable good-faith effort to resolve any dispute arising from or relating to this Agreement or participation in the Healthcare Ambassador Program.

If the dispute cannot be resolved informally, the dispute shall be resolved by final and binding arbitration.

The arbitration shall:

– Be held in Enugu, Enugu State, Nigeria, where 9jaTelemedicine Limited maintains its administrative office.
– Have Enugu, Enugu State, Nigeria as the agreed seat and venue of arbitration.
– Be conducted in the English language.
– Be conducted in accordance with applicable Nigerian arbitration law.
– Be conducted before a single arbitrator unless otherwise agreed in writing.
– Result in an arbitration award that shall be final and binding upon the parties, subject to any rights of challenge or enforcement provided by applicable law.

To the extent permitted by applicable law, disputes covered by this provision shall be resolved through arbitration rather than ordinary court proceedings.

Nothing in this section prevents either party from approaching a court of competent jurisdiction where necessary to enforce this arbitration agreement or an arbitration award, obtain urgent interim or protective relief, or address a matter that cannot legally be resolved through arbitration.

17. Entire Agreement and Severability

This Agreement, together with applicable written Program policies, constitutes the agreement between the Ambassador and 9jaTelemedicine Limited concerning participation in the Healthcare Ambassador Program.

Any previous informational, recruitment, promotional, or training materials describing the Program, potential commissions, or earning opportunities are provided for informational purposes only and do not constitute a guarantee of income or future performance.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by applicable law.

Failure by the Company to enforce any provision on one occasion does not waive its right to enforce that provision in the future.

18. Electronic Attestation and Acceptance

This Agreement is intended to be accepted electronically as part of the Healthcare Ambassador registration process.

No handwritten signature or DocuSign signature is required where electronic acceptance is legally sufficient.

Before the application can be submitted, the applicant must check each required attestation box below.

Required Attestations

– [ ] I understand that I am an independent referral partner and not an employee of 9jaTelemedicine Limited. I understand that I receive no salary or guaranteed income.

– [ ] I understand that the current commission is ₦500 for each eligible completed consultation properly attributed to me and that commissions are subject to monthly reconciliation.

– [ ] I understand that commissions will generally be paid at the end of the applicable month or early in the following month after reconciliation and that 9jaTelemedicine Limited may deduct or withhold taxes or other amounts as required by law.

– [ ] I agree to represent 9jaTelemedicine honestly and professionally, protect patient and Company information, and not provide medical advice or make unauthorized promises or representations on behalf of the Company.

– [ ] I agree not to create fake, duplicate, manipulated, or otherwise fraudulent consultations or engage in any activity intended to improperly generate referral commissions.

– [ ] I understand and agree that disputes arising from or relating to this Agreement or my participation in the Healthcare Ambassador Program will be resolved through binding arbitration in Enugu, Enugu State, Nigeria, subject to applicable Nigerian law.

– [ ] I confirm that the information provided in my application is true and accurate and that checking these boxes and submitting my application constitutes my electronic acceptance of this Agreement.

I AGREE & SUBMIT APPLICATION

IMPORTANT: Submission of this Agreement is an application only. Healthcare Ambassador status becomes active only after approval by 9jaTelemedicine Limited.
