Partnership Officer Online Attestation & Agreement
Tentative Start Date: September 1, 2026
PLEASE READ CAREFULLY BEFORE ACCEPTING
This Partnership Officer Online Attestation & Agreement (“Agreement”) governs participation as a Partnership Officer with 9jaTelemedicine Limited (“9jaTelemedicine,” “Company,” “we,” “us,” or “our”).
This Agreement forms part of the Partnership Officer online registration process.
By checking the required boxes and submitting the registration form, the applicant confirms that they have read, understood, and voluntarily agreed to the terms below.
The applicant’s registration information, together with the date, time, account information, electronic acceptance record, and other system records associated with the registration, may be retained by 9jaTelemedicine as evidence of acceptance.
Acceptance of this Agreement does not automatically guarantee appointment as a Partnership Officer. Appointment remains subject to Company approval, identity and credential verification, submission of required documents, and completion of any additional onboarding requirements.
The anticipated start date is September 1, 2026, although 9jaTelemedicine Limited reserves the right to adjust the start date where reasonably necessary.

1. Partnership Officer Role
A Partnership Officer is responsible for building, developing, and supporting a network of 9jaTelemedicine Ambassadors.
Ambassadors may include:
– Pharmacies and pharmacists
– Healthcare professionals
– Churches, mosques, and religious organizations
– Employers
– Students and student organizations
– Community leaders
– Business owners
– Professional organizations
– Social media promoters
– NGOs and community organizations
– Other individuals or organizations approved by 9jaTelemedicine
The Partnership Officer’s primary responsibility is to recruit legitimate Ambassadors and help develop an active network that generates genuine patient consultations through 9jaTelemedicine.

2. Ambassador Program
Approved Ambassadors receive a unique referral code or another Company-approved tracking method.
Under the current program, an Ambassador earns:
₦500 for each eligible completed consultation properly attributed to that Ambassador.
Ambassador compensation is separate from Partnership Officer compensation.
Referral attribution and consultation counts are determined through the Company’s electronic records.

3. Partnership Officer Responsibilities
An approved Partnership Officer agrees to:
1. Recruit legitimate and qualified Ambassadors.
2. Explain 9jaTelemedicine and the Ambassador program accurately.
3. Assist Ambassadors with onboarding when reasonably necessary.
4. Explain how Ambassador referral codes work.
5. Encourage Ambassadors to actively and ethically promote 9jaTelemedicine.
6. Maintain reasonable communication with the Ambassador network.
7. Help Ambassadors become active and productive.
8. Familiarize themselves with the 9jaTelemedicine platform.
9. Participate in reasonable Company training and meetings.
10. Maintain accurate information concerning their activities.
11. Protect confidential Company information.
12. Protect patient, doctor, Ambassador, employee, and user information.
13. Comply with applicable laws and Company policies.
14. Avoid false, misleading, exaggerated, or unauthorized claims.
15. Promptly report suspected fraud, abuse, manipulation, security incidents, or other improper activity.
16. Conduct themselves professionally when representing 9jaTelemedicine.
Unless separately licensed and authorized to do so, a Partnership Officer must not provide medical advice or represent themselves as a doctor or other healthcare professional.

4. Identity and Credential Requirements
Because Partnership Officers represent 9jaTelemedicine in dealings with the public and potential business partners, the Company must be able to verify the identity and credentials of each Officer.
The Partnership Officer agrees to provide accurate registration information and to submit requested supporting documents.
Required documents may include:
– Valid government-issued photo identification
– National Identification Number (NIN) information or requested NIN documentation
– Educational certificates, diplomas, degrees, or other evidence of educational qualifications
– Professional certifications, where applicable
– Any additional documentation reasonably requested by the Company for identity, qualification, compliance, or onboarding purposes
All required supporting documents must be emailed to:

Failure to provide requested documentation may delay or prevent approval or activation.

5. Accuracy and Verification
By completing registration, the applicant certifies that all information provided to 9jaTelemedicine is true and accurate to the best of their knowledge.
The applicant further certifies that:
– Identification documents submitted belong to them.
– NIN information supplied belongs to them.
– Educational and professional credentials claimed are genuine.
– Documents submitted have not been fraudulently altered.
– They have not knowingly used another person’s identity or documents.
– They will promptly correct materially inaccurate information.
The applicant authorizes 9jaTelemedicine, directly or through lawful service providers, to take reasonable steps to verify submitted information and credentials where permitted by law.
Providing materially false information, fraudulent documents, falsified credentials, or another person’s identity information may result in rejection, suspension, or immediate termination.
Where appropriate, suspected fraud or identity theft may be reported to relevant authorities.

6. Approval and Activation
Completing registration does not automatically make an applicant an active Partnership Officer.
The Company may keep an application in a status such as:
Application Pending / Verification Pending
until identity, credentials, documents, and other onboarding requirements have been satisfactorily reviewed.
The Company may decline an application where:
– Required information is missing;
– Required documents are not submitted;
– Identity cannot reasonably be verified;
– Documents appear fraudulent or materially altered;
– Material information is false or misleading;
– Company requirements are not satisfied; or
– Appointment would create legitimate business, compliance, security, or operational concerns.

7. First Six Months
Once formally approved and activated, a Partnership Officer is eligible for a monthly stipend of:
₦150,000 per month
during the first six months, subject to compliance with this Agreement and continued active participation.
The anticipated start date is September 1, 2026, unless otherwise communicated by the Company.
During the first six months, the Partnership Officer is expected to recruit at least:
15 new Ambassadors per month
and make reasonable efforts to help those Ambassadors become active.
The Company expects genuine and steady network development.
Fictitious, duplicate, inactive, or unqualified Ambassador accounts created merely to satisfy recruitment targets do not count toward the requirement.
The introductory stipend does not prevent the Company from terminating an Officer for fraud, misconduct, abandonment of responsibilities, material non-performance, breach of this Agreement, or other grounds permitted under this Agreement.

8. Stipend Beginning in Month Seven
Beginning in Month 7, the Partnership Officer’s Ambassador network must generate at least:
150 eligible completed consultations per calendar month
for the Officer to qualify for the ₦150,000 monthly stipend for that month.
If the network generates fewer than 150 eligible completed consultations during the applicable month, the Officer will not qualify for the stipend for that month.
Failure to qualify for a stipend in one month does not automatically terminate the Officer’s appointment.
Subject to continued good standing, the Officer may qualify again in a later month by satisfying the applicable requirements.

9. Monthly Performance Bonus
In addition to any applicable stipend, Partnership Officers may qualify for the following monthly performance bonuses based on eligible completed consultations generated by their Ambassador network:

Bonuses are calculated using Company records and are subject to verification.
Bonus tiers are not cumulative unless the Company expressly states otherwise. The Partnership Officer qualifies for the single bonus corresponding to the highest applicable tier achieved during the calendar month.

10. Eligible Completed Consultation
For purposes of targets, stipends, and bonuses, an eligible completed consultation means a consultation that:
– Was initiated by a genuine patient;
– Was properly submitted through the 9jaTelemedicine platform;
– Was properly paid for;
– Was completed according to Company procedures;
– Was properly attributed to an eligible Ambassador within the Officer’s network;
– Has not been cancelled, refunded, reversed, charged back, duplicated, manipulated, or determined to be fraudulent; and
– Otherwise satisfies applicable Company requirements.
Creating an account or beginning a consultation does not constitute a completed consultation.

11. Zero Tolerance for Fraud
9jaTelemedicine maintains a zero-tolerance policy regarding referral and compensation fraud.
A Partnership Officer must not participate in, encourage, facilitate, instruct, or knowingly benefit from:
– Fake patient accounts
– Fake consultations
– Duplicate accounts
– Unauthorized use of another person’s identity
– Referral-code manipulation
– Artificial generation of consultations
– Paying individuals to create false consultations
– Encouraging unnecessary consultations solely to generate compensation
– Falsifying Ambassador registrations
– Falsifying documents
– Manipulating Company records
– Collusion designed to improperly generate commissions, stipends, or bonuses
– Any scheme designed to artificially increase referrals or consultation numbers
The Company may temporarily withhold payments reasonably connected with suspected fraudulent activity while conducting an investigation.
Confirmed fraud may result in immediate termination, cancellation of compensation attributable to fraudulent activity, recovery of improperly paid amounts, and referral to relevant authorities where appropriate.

12. Company Records and Compensation
The Company’s electronic systems and records will be the primary source used to calculate:
– Ambassador registrations
– Referral attribution
– Completed consultations
– Monthly performance
– Stipend eligibility
– Performance bonuses
Any suspected error in a calculation should be reported to the Company within 30 days of the applicable statement or payment.
The Company will reasonably investigate legitimate disputes and correct verified errors.

13. No Authority to Bind the Company
A Partnership Officer is not authorized to:
– Sign contracts on behalf of 9jaTelemedicine;
– Borrow money in the Company’s name;
– Open financial accounts in the Company’s name;
– Commit Company funds;
– Hire employees on behalf of the Company;
– Promise compensation not approved by the Company;
– Change consultation prices;
– Offer unauthorized discounts;
– Guarantee medical treatment;
– Guarantee that medication will be prescribed;
– Guarantee a medical outcome;
– Collect patient payments outside approved Company systems unless expressly authorized; or
– Represent that they possess authority beyond the Partnership Officer role.
Unauthorized commitments do not bind 9jaTelemedicine Limited.

14. Independent Contractor Status
An approved Partnership Officer serves as an independent contractor and not as an employee, legal partner, joint venturer, franchisee, or agent of 9jaTelemedicine Limited.
Nothing in this Agreement should be interpreted as creating an employment relationship.
Subject to applicable law, a Partnership Officer is not entitled solely because of this engagement to employee benefits such as paid leave, health insurance, pension benefits, severance benefits, or other benefits ordinarily provided to employees.
The ₦150,000 monthly stipend is compensation under the independent-contractor arrangement and is not a salary or guarantee of permanent employment.
The Partnership Officer is responsible for applicable personal tax and statutory obligations except where the Company is required by law to deduct, withhold, or remit amounts.

15. Expenses
Unless approved by the Company in writing in advance, Partnership Officers are responsible for their own expenses, including transportation, telephone, internet, meetings, printing, and similar expenses.
No Partnership Officer may incur expenses or financial obligations in the Company’s name without written authorization.

16. Ethical Marketing and Conduct
Partnership Officers must promote 9jaTelemedicine professionally, honestly, and responsibly.
They may not:
– Guarantee that medication will be prescribed;
– Guarantee a diagnosis or medical result;
– Represent 9jaTelemedicine as an emergency medical service;
– Provide unauthorized medical advice;
– Make false statements regarding doctors or competitors;
– Use misleading advertising;
– Misrepresent consultation prices;
– Offer unauthorized discounts;
– Engage in unlawful marketing practices;
– Pressure individuals into unnecessary medical consultations;
– Make unauthorized promises on behalf of the Company; or
– Knowingly engage in conduct that materially damages the Company’s reputation.
The Company may require the use of approved marketing materials and branding.

17. Patient Information and Data Protection
Partnership Officers should not request medical information from patients unless specifically authorized and legitimately necessary for an approved Company process.
Any personal information obtained through the role must be protected.
A Partnership Officer may not:
– Sell patient or user information;
– Share confidential information with unauthorized persons;
– Use patient information for unrelated marketing;
– Photograph, copy, download, or retain confidential information without authorization;
– Share Company login credentials;
– Access Company systems for unauthorized purposes; or
– Use information obtained through 9jaTelemedicine for unrelated commercial activities.
Any suspected loss, theft, compromise, or unauthorized disclosure of personal or Company information must be promptly reported.
Partnership Officers agree to comply with applicable Nigerian data-protection requirements and Company privacy and information-security policies.

18. Confidentiality
Partnership Officers may receive confidential information concerning:
– Company strategy
– Financial information
– Ambassador networks
– Marketing strategies
– Technology and software
– Pricing
– Business operations
– Patient acquisition strategies
– Internal reports
– Doctor information
– Customer information
– Partnership Officer information
– Other non-public Company information
Confidential information may not be disclosed or used except as reasonably necessary to perform authorized responsibilities.
These confidentiality obligations continue after termination.

19. Company Property and Intellectual Property
All Company trademarks, logos, software, databases, training materials, marketing materials, referral systems, documents, reports, content, and other intellectual property remain the property of 9jaTelemedicine Limited or their respective owners.
Appointment as a Partnership Officer does not transfer ownership of Company intellectual property.

20. Ambassador Relationships
Ambassadors recruited by a Partnership Officer participate in the 9jaTelemedicine Ambassador Program and remain subject to Company policies.
A Partnership Officer does not own the Company’s Ambassador database, patient database, provider database, or customer relationships.
If the Partnership Officer’s appointment ends, Ambassadors previously associated with that Officer may remain with 9jaTelemedicine.
The Company may communicate directly with, support, manage, or reassign Ambassadors where reasonably necessary for continued business operations.

21. No Guarantee of Income
9jaTelemedicine does not guarantee any specific level of income, consultations, referrals, bonuses, or future earnings.
Actual compensation depends on eligibility, compliance with Company requirements, and the performance of the Partnership Officer’s Ambassador network.

22. Changes to Program Terms
The Company may modify program requirements where reasonably necessary, including:
– Consultation pricing
– Ambassador compensation
– Partnership Officer stipends
– Performance targets
– Bonus structures
– Referral rules
– Eligibility requirements
– Marketing policies
– Operational procedures
The Company will provide reasonable notice of material changes.
Changes will generally apply prospectively and will not retroactively eliminate compensation properly earned before the effective date of the change.
Where a material change requires renewed acceptance, the Company may require the Partnership Officer to electronically accept updated terms.

23. Term and Termination
The Partnership Officer’s appointment continues until terminated in accordance with this Agreement.
Termination Without Cause
9jaTelemedicine Limited reserves the right to terminate the appointment of any Partnership Officer, with or without cause, upon thirty (30) days’ written or electronic notice.
The Partnership Officer may likewise terminate the relationship by providing thirty (30) days’ written notice.
There is no guarantee of indefinite engagement.
Immediate Suspension or Termination for Cause
The Company may immediately suspend access and/or terminate the relationship without 30 days’ notice where reasonably warranted because of serious misconduct, including:
– Fraud;
– Theft or misappropriation;
– Falsification of identity or credentials;
– Submission of fraudulent documentation;
– Referral or consultation manipulation;
– Material breach of confidentiality;
– Serious privacy or information-security violations;
– Unauthorized access to Company systems;
– Unauthorized collection of patient funds;
– Material misrepresentation of the Company;
– Serious or repeated violations of Company policies;
– Criminal conduct materially affecting the role or Company;
– Intentional misconduct causing material reputational harm;
– Serious breach of this Agreement; or
– Conduct creating material legal, regulatory, financial, security, or patient-safety risk.
The Company may temporarily suspend an Officer while investigating suspected misconduct.

24. Compensation Following Termination
Termination does not automatically cancel legitimate compensation fully earned before the effective termination date.
Subject to verification, the Company will calculate undisputed compensation properly earned through the effective termination date.
No stipend or performance bonus accrues for periods after termination.
Fraudulent, manipulated, refunded, reversed, charged-back, duplicated, or otherwise ineligible transactions do not qualify for compensation.
The Company may exercise any lawful right to recover improperly paid amounts.

25. Obligations Following Termination
Following termination, the Partnership Officer must:
– Stop representing themselves as a 9jaTelemedicine Partnership Officer;
– Stop using Company accounts and systems;
– Return Company property;
– Stop unauthorized use of Company logos and identification;
– Delete confidential Company information from unauthorized personal devices or accounts;
– Return Company materials where required; and
– Stop making representations on behalf of the Company.
The Company may disable system access immediately upon suspension or termination.
Confidentiality, intellectual-property, data-protection, fraud, payment-recovery, and other obligations that by their nature should survive termination remain in effect.

26. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
The parties should attempt in good faith to resolve disputes through direct discussion before commencing formal proceedings, except where urgent legal or protective action is reasonably necessary.

27. Electronic Acceptance
This Agreement is designed to be accepted electronically as part of the Partnership Officer registration process.
No additional name, address, telephone number, NIN, signature, or other personal-information fields are required within this attestation because the applicant’s registration information is already collected separately through the registration process.
The Company’s electronic records may be used to establish:
– Which registered account accepted the Agreement;
– The version of the Agreement accepted;
– The date and time of acceptance;
– The acceptance selections made during registration; and
– Other relevant electronic audit information.

REQUIRED ONLINE ATTESTATIONS
Before registration can be submitted, the applicant should be required to check the following boxes:
– [ ] IDENTITY & DOCUMENTS: I certify that the information I provided during registration is true and accurate. I certify that my identity information, NIN, educational qualifications, and any professional credentials I provide belong to me and are genuine. I agree to email my government-issued photo ID, NIN information or requested NIN documentation, educational certificate(s), applicable professional certification(s), and any other requested supporting documents to Support@9jatelemedicine.com. I authorize 9jaTelemedicine to reasonably verify my identity and credentials as permitted by law.
– [ ] ROLE, COMPENSATION & PERFORMANCE: I understand the Partnership Officer role and compensation structure. I understand that the anticipated start date is September 1, 2026, subject to change by the Company; that during my first six months I am expected to recruit at least 15 new Ambassadors per month; and that beginning in Month 7 my Ambassador network must generate at least 150 eligible completed consultations per calendar month for me to qualify for the ₦150,000 monthly stipend. I understand that bonuses are based only on eligible completed consultations verified through Company records and that no specific level of income is guaranteed.
– [ ] CONDUCT, CONFIDENTIALITY & TERMINATION: I agree to comply with Company policies, protect confidential and personal information, avoid fraud or manipulation, make no unauthorized medical or financial representations on behalf of 9jaTelemedicine, and conduct myself professionally. I understand that my relationship is intended to be that of an independent contractor, subject to applicable law. I understand that 9jaTelemedicine may terminate my appointment, with or without cause, upon 30 days’ written or electronic notice, and may suspend or terminate me immediately for serious misconduct as described in this Agreement.
– [ ] FINAL AGREEMENT: I confirm that I have read and understood this entire 9jaTelemedicine Limited Partnership Officer Online Attestation & Agreement. I voluntarily agree to its terms and understand that checking this box and submitting my registration constitutes my electronic acceptance of this Agreement.
